1. Acceptance of Terms

These Terms of Service ("Terms") comply constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Hirnex ("we," "us", or "our"), concerning your access to and use of the Hirnex website and Execution Governance Platform (collectively, the "Service").

You agree that by accessing the Service, you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

2. Description of Service

Hirnex is a Software-as-a-Service (SaaS) platform designed for IT service companies to govern project execution, requirements tracking, and delivery validation.

3. User Registration and Account Security

To access certain features of the Service, you may be required to register. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

4. Acceptable Use and Conduct

You may not access or use the Service for any purpose other than that for which we make the Service available. As a user of the Service, you agree not to:

• Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Circumvent, disable, or otherwise interfere with security-related features of the Service.
• Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming, that interferes with any party's uninterrupted use and enjoyment of the Service.
• Use the Service in a manner inconsistent with any applicable laws or regulations.

5. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Hirnex and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Hirnex.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Hirnex makes no representations or warranties of any kind, express or implied, as to the operation of their services, or the information, content, or materials included therein. You expressly agree that your use of these services, their content, and any services or items obtained from us is at your sole risk.

7. Limitation of Liability

In no event shall Hirnex, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential which includes damages for loss of profits, goodwill, use, data or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
